Article 1: Applicability

  1. These conditions apply to all quotations issued by Historical Wood and to all agreements concluded between Historical Wood and an opposing party.
  2. These general terms and conditions prevail over the general terms and conditions of the other party. Exceptions to this rule must be confirmed in writing between both parties.

Article 2: Quotes and prices

  1. Any quotation from Historisch Hout is made on the basis of availability of the material from stock, or subject to interim sales. This means that no rights can be derived from quotations and they are by definition without obligation.
  2. All prices are exclusive of VAT unless otherwise indicated.
  3. Price quotations regarding material in stock (see also paragraph 2.1) are generally valid for 30 days.
  4. Price quotations regarding material in stock (see also paragraph 2.1) are generally valid for thirty days. Any transport or other processing costs are not included in quotations, unless stated otherwise.

Article 3. Payments and delivery

  1. Delivery obligation arises only by written confirmation of order by Historic Timber and at the prices and conditions of the day of order In the case of specific/non-stock materials ordered/purchased
  2. must be made, a down payment of 50% must be made. This at the time of entering into the agreement between Historic Wood and the other party.
  3. The other party must pay the full amount before delivery, or at the time of delivery. No delivery will be made if the full amount has not (yet) been paid.
  4. Transport is always exclusive of unloading, unless expressly agreed otherwise. Transport is based on availability. When transport including unloading is
    agreed, unloading will take place next to the vehicle. Historical Wood reserves the right at all times to unload only at a location deemed suitable by the driver.

Article 4. Storage

  1. The other party must take delivery of the purchased material within 1 month. After this month, a market-based rate for storage and transhipment will apply.
  2. Storage on the premises of Historic Wood is at the risk of the other party.

Article 5: Retention of title and advertising

  1. The materials delivered shall remain the property of Historic Wood if the other party has not (yet) paid the amount due in full. Paid in this case means that the money has either been transferred in cash, or transferred via a pin machine or is already in the account of Historisch Hout.
  2. The other party must check the materials (in terms of number, condition, etc.) at the time of delivery. If the other party wishes to complain about materials (only in the event of deviating deliveries), the other party must make this known at the time of delivery by marking the complaint with reasons on the receipt.
  3. Any complaint not made known as described in 6.2 will not be considered.
  4. Given the nature of the material, the other party is not entitled to complain when the material is subject to minor differences in colour and quality.
  5. Historisch Hout does not, as a rule, accept cancellation requests. In very exceptional cases, the agreement may be cancelled.

Article 6: Liability

  1. All materials from Historisch Hout are delivered in the condition in which they exist at the time of concluding the agreement. The other party is free to inspect the condition and quality of the materials before entering into the agreement. Given the historical nature of the material, Historisch Hout is unable to guarantee the condition and/or future of the materials. This means that no guarantee is given on the delivered materials. Historisch Hout is not liable for deviations in size, structure, pattern, colour, deviations in physical properties that have arisen from previous processing, possible toxic contamination, sediment discharge, vermin, or exposure to radiation of delivered products. When the other party signs an agreement with Historisch Hout, it hereby accepts the materials as possibly inspected by the other party: including all known and unknown defects.
  2. Historisch Hout is not responsible for damage to the material or other objects resulting from handling or processing of the material. Processing or handling of the material is done at your own risk.

Article 7: Force majeure

  1. Historisch Hout shall have the right to invoke force majeure in all situations in which, through no fault or intention of Historical Wood, the delivery of materials or compliance with the
    agreement is otherwise reasonably made impossible or seriously impeded. Examples of such situations are: special weather conditions, far-reaching government measures, fire, flood, import or export restrictions or other extreme circumstances. When a force majeure situation occurs, Historical Wood shall be free to postpone delivery or cancel the agreement.

Article 8 Consumer right of withdrawal

  • You have the right to withdraw from the contract without giving reasons within a period of 14 days. The withdrawal period expires 14 days after the day on which you or a third party designated by you, who is not the carrier, takes physical possession of the goods. This only applies to our webshop products. Customised products cannot be returned.
  • To exercise the right of withdrawal, you must inform us (Historisch Hout, Bloeme Weide 6, 7448PX Haarle, Netherlands) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post, fax or e-mail).
  • If the buyer decides to return the product and/or products, the costs of the return shipment are for the buyer’s account. Any damage caused during the return process is at the expense and responsibility of the buyer.
  • The right to rescind the agreement does not apply to products created in accordance with the buyer’s specifications (customisation).
  • Furthermore, the seller need only accept returns of product and/or products if:
  1. the product and/or products have not been used or tampered with
  2. the product and/or products are completely complete, in their original packaging and in original condition
  3. the product and/or products are unused and clean
  4. the product and/or products has/have not been built-in or assembled in any way

Article 9: Applicable law and competent court

  1. Dutch law applies to all agreements
    concluded between Historical Wood and the parties. Disputes will be settled by
    exclusion by the competent court in Almelo,
    unless otherwise provided by mandatory law.
